Aditya Infotech Limited, the listed owner of the CP PLUS surveillance brand, has signed agreements to acquire a 30% stake in KGraph AI Solutions Private Limited, the Bengaluru-based deep-tech company behind the BLUE video platform, for a cash consideration of about Rs. 45.4 crore.
In a regulatory filing with the BSE on Thursday, the company said its board approved the transaction at its meeting on November 5 and that it has executed a Share Subscription and Share Purchase Agreement, along with a Shareholders’ Agreement, with KGraph AI, its promoters and certain existing shareholders. The deal values the startup at roughly Rs. 151 crore post-money and is expected to be completed within 30 days of signing, subject to customary closing conditions.
What BLUE does
KGraph AI’s core product is BLUE, an enterprise video-analytics platform built around what the company calls a Semantic Codec – a perception-aware compression layer that sits over the standard H.264 video codec to strip out redundant visual information while preserving essential detail. The company says that, based on its deployment data, the technology can reduce video storage and bandwidth requirements by up to 90%. It runs on cost-efficient edge hardware without GPU infrastructure and works with existing cameras and recording systems, letting customers extend video retention without replacing installed equipment.
Incorporated in August 2023, KGraph AI is led by six co-founders with academic backgrounds from IIT Bombay and IIM Bangalore. According to the filing, the company reported a turnover of about Rs. 80 lakh in FY 2025-26, up from about Rs. 36 lakh the previous year. It says it has a 10-patent pipeline, with three applications filed and seven in progress.
Why it matters for CP PLUS
For Aditya Infotech, one of India’s largest video surveillance companies, the investment is part of its “CP PLUS 2.0” push to evolve from a hardware-led surveillance business into an integrated, AI-led security solutions provider. As camera counts and resolutions rise, the cost of storing and moving video has become a growing constraint across smart cities, enterprises and critical infrastructure – exactly the layer BLUE’s technology targets.
“Video compression is foundational to the next phase of surveillance,” said Aditya Khemka, Managing Director, Aditya Infotech Limited. “BLUE addresses this challenge on cameras already in the field and brings a highly experienced team with expertise in computer vision and embedded systems.”
“Partnering with Aditya Infotech gives us the opportunity to take our technology to a wider market, combining our specialised capabilities with CP PLUS’s established surveillance ecosystem, engineering strengths and customer reach,” said Kunal Kislay, Co-founder and CEO, BLUE.
BLUE will continue to operate independently while collaborating with Aditya Infotech’s R&D and engineering teams across Noida, Ahmedabad and Taiwan. The transaction does not require governmental or regulatory approvals and is not a related-party deal, the filing said.
